Built on Four Core Principles

Every element of IICS is guided by these principles:

Clarity

Clear language. Defined scope. Fewer grey areas.

Fairness

Balanced treatment of brand and influencer interests.

Protection

Thoughtful coverage of payments, IP, disclosures, and compliance.

Efficiency

Reduced friction, faster negotiations, and smoother execution.

Why the Industry Needs this

Establishes a Clear Contractual Baseline

Start every influencer–brand engagement on an industry-standard foundation that reduces ambiguity and negotiation friction.

Creates Consistent Rights and Obligations

Ensure uniform interpretation of responsibilities, liabilities, and expectations across campaigns and stakeholders.

Reduces Legal and Reputational Risk

Clarify payments, usage rights, exclusivity, and compliance to prevent avoidable disputes.

Accelerates Deal Execution

Eliminate repeated renegotiation of basic legal terms and enable faster, more efficient deal closures.

Enables Private, Structured Dispute Resolution

Resolve issues contractually before they escalate into public or reputational conflicts.

Supports a Mature and Sustainable Ecosystem

Introduce a neutral, balanced legal standard that enables long-term growth for brands, creators, and partners alike.

About the IICS

The IICS is a legally drafted, clause-based agreement suitable for both brand–influencer and agency–influencer engagements. It consolidates essential commercial, creative, and legal terms into a single enforceable document.

IICS is issued for industry standard-setting purposes and does not constitute legal advice. Parties should seek independent legal counsel before execution. IIGC or Trilegal does not assume liability for disputes, losses, or claims arising from use of this document. Use of the contract does not imply endorsement, certification, or legal validation by IIGC.

Note: IICS does not eliminate risk. It reduces uncertainty. By setting a shared contractual foundation, it helps brands and influencers engage with greater confidence, clarity, and professionalism.
